    Define the extent of liability for damages or losses, including those caused by delays or errors.
  • Force majeure:
    Outline the consequences of events beyond the agency’s control (e.g., natural disasters). 
     
 
5. Termination:
  • Termination clauses: Specify conditions under which either party can terminate the agreement (e.g., breach of contract, non-payment).
  • Notice period: Outline the required notice period for termination.
  • Consequences of termination: Define the obligations of each party upon termination (e.g., payment for work completed, transfer of assets). 
     
 
6. Confidentiality:
  • Confidential information:
    Define what constitutes confidential information and how it should be protected.
  • Non-disclosure agreement:
    Include a clause requiring the agency to keep client information confidential. 
     
 
7. General Clauses:
  • Governing law: Specify the jurisdiction whose laws govern the agreement.
  • Entire agreement: State that the agreement constitutes the entire understanding between the parties.
